According to CourtouseNews, Musk officially filed a lawsuit against OpenAI on the evening of the 29th, claiming that the collaboration between OpenAI and Microsoft has undermined OpenAI’s original commitment to public and open-source Artificial General Intelligence (AGI).

OpenAI has become the world’s largest closed-source technology giant – a subsidiary of Microsoft. Under its new board leadership, OpenAI’s role is to maximize Microsoft’s profits rather than benefit humanity.

Demanding OpenAI to return to open source

Musk has made multiple allegations, including breach of contract, breach of fiduciary duty, and unfair business practices. He is demanding that OpenAI return to being open source and asking the court to prohibit Gregory Brockman, Sam Altman, and Microsoft from profiting from OpenAI.

Sam Altman’s resignation drama is forcing OpenAI’s hand

The lawsuit also mentions Sam Altman’s resignation controversy in November last year. Musk points out that Altman’s resignation prompted Microsoft’s intervention and forced board members who tried to dismiss Altman to resign.

Musk stated:
The current board members are no longer scientists and researchers who support and understand the technology. The non-profit structure that OpenAI has carefully built has now been replaced by a profit-driven CEO and a board with low technical expertise, while Microsoft is being reserved an observer seat.

(Chart of OpenAI company structure: Sam Altman and the board have no equity? Why can Microsoft only be an observer?)

OpenAI has become a profit-making tool

Musk was one of the original board members of OpenAI but left in 2018 due to concerns that the development of GPT-4 and the next generation AGI could endanger public safety.

He believes that Microsoft’s control over Sam Altman and the OpenAI board will prevent GPT-4 from transitioning into AGI, thereby maintaining the confidentiality and profitability of related technologies.
